Atriis Subscriber Payment Terms

Except as otherwise set forth in an Order Form, all Fees are (i) quoted and payable in the currency specified in the Order Form; and (ii) due within thirty (30) days of the invoice date. Subscriber shall provide Atriis with complete and accurate billing and contact information, including a valid email address for receipt of invoices.

Any 3rd party supplier fees are payable within thirty (30) days of receipt of invoice. In the event that Subscriber disputes all or any portion of a 3rd party supplier amount invoiced by Atriis, Subscriber shall notify Atriis within 10 days of receipt of any such invoice, however, must provide full payment of the invoice amount. Atriis commits to support the resolution of disputed amounts however cannot be withheld or guarantee any timeline of the refund of the respective disputed amount charged 3rd party supplier. For disputed 3rd party supplier invoice amounts being credited by the 3rd party supplier to Atriis, Atriis will process a credit to the Subscriber for the subsequent invoicing cycle.  

All Fees are exclusive of any charges levied by any Content providers (including but not restricted to GDS charges and low-cost carrier charges) on Atriis in relation to the Subscriber’s use of the Platform and Services. Such charges will be invoiced by Atriis to the Subscriber monthly in arrears.  

Unpaid due amounts will accrue interest on a daily basis until paid in full at the lower of (a) the rate of one and a half per cent (1.5%) per month, or (b) the highest amount permitted by applicable law, plus all expenses of collection, including without limitation reasonable attorney’s fees.

It is hereby clarified that the Fees may be increased from time to time upon 90 days’ prior notice to Subscriber, provided that such an increase shall occur no more than once a year and provided that such increase does not affect any prepaid Fees.  Without prejudice to the foregoing, the Fees shall be adjusted annually without any further notification according to the average change in the consumer price index published by the UK Office for National Statistics (https://www.ons.gov.uk/) on each anniversary of this Agreement, or such other consumer price index indicated on the Order Form.
